Joanne Davis is a corporate and general business lawyer adept at managing legal needs at all levels of complex organizations, and has particular knowledge and experience in the chemical, financial, health care and industrial sectors.Joanne was Assistant General Counsel to a publicly traded multi-national chemical manufacturer for sixteen years, where she advised senior executives and business leaders globally, counseling on a daily basis on a wide range of business matters, including joint ventures and alliances; credit, security and other financial arrangements; guaranties and indemnities; supply and procurement; sales and distribution; intellectual property licensing; tax planning implementation; confidentiality; equipment and real property leases and lease financing; international marketing and distribution; regulatory compliance; government contracts; government agency/international project financing; corporate organization and governance; corporate disclosure; policy promulgation, implementation and compliance; and toll manufacturing, service, consulting and outsourcing agreements.At various times she served as global Finance Counsel (advising CFO/accounting/business development/treasury/tax/risk/credit); Director of Litigation; Director of M&A Transactions and Director of Legal Operations. She had primary responsibility for the compilation and justification of a $20M annual legal budget and implemented innovative budget recordkeeping and reporting techniques, both internally and with outside counsel.As a transactional health care attorney, Joanne has advised health care entities including hospitals, ambulatory surgery centers, physician practice groups, and community providers on health care, contract, regulatory and general corporate matters and is experienced in the negotiation and documentation of hospital based provider acquisitions, medical business transactions (formation, acquisition, merger and dissolution of practices and other medical entities), joint ventures, corporate governance, private placements, contracts, and privacy matters.Joanne was an associate in the Manhattan office of Debevoise & Plimpton, where her practice focused on corporate, public, real estate and project and equipment finance. She clerked for the United States Court of Appeals for the Second Circuit following her graduation from law school.Ms. Davis has a longstanding pro bono commitment, and throughout her career has focused on assisting non-profit organizations with respect to organization, governance and operational matters.
